1. Introduction

Welcome to Mini Photobooth ("we," "our," or "us"), a service provided by Minivan Labs. By accessing or using our mobile application and web services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using the Service.

2. Acceptance of Terms

By accessing or using our Service, you confirm that you:

• Are at least 13 years of age.
• Have read and understood these Terms.
• Agree to be bound by these Terms.
• If representing an organization, have the authority to bind that organization to these Terms.

3. Service Description

Mini Photobooth is a mobile application and web service for capturing and managing photos during events. It allows users to customize photobooth templates for their events, and use those templates to create photo collages for their events. Features may be added or removed at any time without notice or liability.

4. Account Registration

4.1 Account Creation

• The mobile application can be used without creating an account.
• Account creation is required for purchasing a subscription on web, and may be required for accessing certain account specific features. Accounts may be created via the methods available on the website/app (such as email, or other social sign-in services).
• If using third-party authentication, you authorize us to access certain information from your third-party account as permitted by the provider.
• When creating an account, you must provide accurate, complete information.
• You must maintain and update your account information.
• You must secure your account credentials.
• You may not share your account with others.
• You must be at least 13 years old to create an account.
• We reserve the right to refuse account creation or terminate accounts at our discretion.

4.2 Account Responsibility

• You are responsible for:
  • All activities under your account.
  • Maintaining the confidentiality of your password.
  • Notifying us immediately of any unauthorized access.
  • Any content posted through your account.

5. Subscription and Payments

5.1 Subscription Terms

• Subscriptions can be purchased through:
  • Apple's In-App Purchase system.
  • Mini Photobooth website (www.miniphotobooth.co).
• Subscription management depends on purchase location:
  • Apple In-App Purchases must be managed through Apple (including cancellation and billing).
  • Website purchases must be managed through the Mini Photobooth website.
• Subscriptions automatically renew unless auto-renewal is canceled.
• Auto-renewal must be canceled at least 24 hours before the renewal date.
• Upon timely cancellation of auto-renewal, the subscription remains active until the end of the current billing period.
• When a subscription expires or is canceled, certain features that require an active subscription may be deactivated, including but not limited to Web Galleries. Deactivated features may be reactivated by renewing your subscription.
• For Web Galleries specifically: galleries will deactivate upon subscription expiration and will no longer be publicly accessible. If a web gallery remains deactivated for more than a certain period, it may be permanently deleted.
• Subscriptions provide access to features, but usage of certain features may be subject to limitations. These limitations may be determined by your subscription level and purchase method. For example, Web Galleries have storage limits that vary based on subscription tier and whether the subscription was purchased via the app or website.
• Subscription prices are subject to change with notice.
• Failed payments may result in immediate service suspension.
• We reserve the right to modify subscription plans and features.
• In any case, deletion of the app or closing of the website does NOT constitute cancellation of your subscription. You must explicitly cancel your subscription, using the method as outlined in 5.2 Refunds and Cancellations.

5.2 Refunds and Cancellation

• For Apple In-App Purchases:
  • Apple subscriptions must be managed through your Apple ID settings on your iOS device.
  • To cancel: Go to Settings > [Your Apple Account] > Subscriptions on your iPhone/iPad.
  • Refund requests must be submitted directly to Apple through their support channels.
  • All refund policies are governed by Apple's terms and conditions.
  • We do not provide refunds for Apple In-App Purchases.
• For Website Purchases:
  • Subscription cancellations must be initiated and completed on the Mini Photobooth website by going to your Account, Manage Subscriptions page.
  • Refunds are provided at our sole discretion and may be granted or denied based on factors including but not limited to user usage, subscription history, and circumstances of the refund request.
  • Cancellation of auto-renewal does not entitle you to a refund.

5.3 Payment Processing

• Payments are processed through secure third-party providers.
• You agree to provide accurate billing information.
• Failed payments may result in service interruption.

6. User Content

6.1 Content Ownership

• You retain ownership of content you create and upload.
• You grant us a license to host and share your content as part of the Service.
• You are responsible for securing necessary permissions for any content you upload.
• Data retention and privacy practices are governed by our Privacy Policy.

6.2 Content Restrictions

You agree not to upload content that:

• Infringes on intellectual property rights.
• Contains illegal, harmful, or inappropriate material.
• Violates any person's privacy rights.
• Contains malware or malicious code.

6.3 Photo Permissions

• You must obtain explicit permission from individuals before taking their photo.
• When using Web Galleries, you are responsible for ensuring you have permission to publicly share photos online, including obtaining consent from all individuals photographed for online distribution.
• Individuals may withdraw consent at any time.
• Upon consent withdrawal, related photos must be removed from all locations, including Web Galleries.
• We reserve the right to remove content that violates these terms.

6.4 Content License

• By sharing content, you grant us a royalty-free, worldwide, perpetual license to use, reproduce, modify, distribute, and display your content in connection with the Service.
• This license allows us to operate and promote the Service.

6.5 Content Removal and Monitoring

• We may remove any content at our sole discretion without notice, including content uploaded to Web Galleries.
• We may use automated content filters and human review.
• We reserve the right to investigate suspected violations.
• We may monitor your use of the Service to ensure compliance with these Terms.
• You agree we may collect technical data about your device and usage.

7. Data and Messaging Charges

• Using certain features of the Service, including Web Gallery syncing over cellular data and sending image and text messages from the Service, may result in data or messaging charges from your mobile carrier.
• You are responsible for all data and messaging charges incurred while using the Service.
• Web Gallery syncing can be configured to use WiFi only to avoid cellular data charges.
• We recommend checking with your mobile carrier regarding your data plan and any applicable charges.

8. Prohibited Activities

You agree not to:

• Violate any laws or regulations.
• Infringe on intellectual property rights.
• Harass, abuse, or harm others.
• Interfere with Service operation.
• Attempt to gain unauthorized access.
• Use the Service for unauthorized commercial purposes.
• Scrape or extract data from the Service.
• Share explicit or inappropriate content.
• Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Service.
• Use automated systems, bots, scripts, or other means to access the Service.
• Circumvent any copy protection, security measures, or access controls.
• Create derivative works based on the Service or its content.
• Remove, obscure, or alter any copyright, trademark, or proprietary notices.
• Use the Service to transmit viruses, malware, or other harmful code.
• Use the Service in violation of U.S. export regulations or Export Administration Regulations.
• Export or re-export the Service to prohibited countries or entities.

9. Device Requirements

• You warrant that you own the device or have legal right to control its use.
• You must ensure others using your device comply with these Terms.
• You must delete the app if you sell the device or lose control of it.
• Your license is subject to obtaining consent for third-party bandwidth usage.

10. Termination

10.1 Account Termination

• We may terminate or suspend your account if you:
  • Violate these Terms.
  • Engage in harmful behavior.
  • Fail to pay applicable fees.
  • Request account deletion.

10.2 Effect of Termination

• Upon termination:
  • Access to some or all features may cease.
  • Web Galleries will be deactivated and may be permanently deleted.
  • Local app functionality remains available without an account.
  • Subscription fees are non-refundable.
  • These Terms' relevant portions survive termination.

11. Disclaimers

11.1 Service Availability

• Service is provided "as is".
• We do not guarantee uninterrupted service.
• We may modify or discontinue features.
• We are not responsible for third-party services.

11.2 Content Responsibility

• We do not monitor all uploaded content.
• We are not responsible for user-generated content.
• We do not guarantee content preservation.
• Users are responsible for maintaining content backups.

11.3 Data Storage

• Storage space is inherently limited, including Web Gallery storage which is determined by your subscription level and purchase method.
• We have no obligation to preserve, provide access to, or return your content.
• We may remove content from storage systems without notice, including content stored in Web Galleries.
• We have no responsibility for modification, loss, deletion, or destruction of content.

11.4 Data Security

• We do not guarantee the Service will be free from loss, corruption, viruses, or security intrusion.
• You are responsible for backing up your own content and data.
• We are not responsible for data charges you may incur.

11.5 Warranty Disclaimer

• We disclaim all warranties, express or implied.
• No warranty of merchantability or fitness for a particular purpose.
• No guarantee that the service will meet your requirements.

12. Limitation of Liability

• To the maximum extent permitted by law:
  • We exclude all liability for indirect, consequential, incidental, punitive, or special damages.
  • We are not liable for lost profits, data, content, use, goodwill, or business opportunities.
  • We are not liable for service interruptions, third-party actions, or unauthorized access.
  • In no event shall the Service's total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of fifty dollars ($50.00).

12.1 Basis of the Bargain

• You acknowledge these warranty disclaimers and liability limitations reflect a reasonable allocation of risk and form an essential basis of our agreement.
• We could not provide the service economically without these limitations.

12.2 Claims Time Limitation

• Any legal claims must be filed within one (1) year after the cause of action accrues, otherwise permanently barred.

13. Indemnification

You agree to indemnify, defend, and hold harmless Minivan Labs, and their officers, directors, employees, and agents from any claims, damages, losses, or costs (including reasonable attorney fees) arising from:

• Your violation of these Terms.
• Your violation of any applicable laws or regulations.
• Your violation of any third-party rights.
• Your use or misuse of the Service.
• Your Content or any content you post or share.
• Any taxes related to your use of the Service.

14. Feedback

• Any feedback, suggestions, or ideas you provide becomes our property.
• We can use feedback for any purpose without compensation to you.
• You waive any rights to feedback and acknowledge no confidential relationship is created.

15. Changes to Terms

We may modify these Terms by:

• Posting updates on our Service.
• Sending email notifications.
• Providing in-app notifications.
• Changes take effect immediately upon posting.

16. Third-Party Terms

Your use of Mini Photobooth may be subject to additional third-party terms:

• For iOS app users: Apple's Terms and Conditions (Apple Terms).
• For social sign-in users: You are subject to the terms and privacy policies of your chosen authentication provider (such as Google, Apple, Facebook, or other social sign-in services).
• By using third-party authentication, you agree to comply with the respective provider's terms of service and privacy policies.
• These third-party terms govern your relationship with those respective platforms.
• In case of conflict between our terms and third-party terms, third-party terms may take precedence for platform-specific matters.
• If you downloaded the app from the Apple App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
• Your license to use the Service is conditioned upon compliance with all applicable third-party terms.

17. User Safety

• The Service is for entertainment purposes only.
• You should always exercise appropriate caution when taking photos at events.
• We are not responsible for any injuries or incidents during Service use.
• Always respect others' privacy and obtain consent before photographing them.

18. Copyright Infringement

• If you believe content infringes your copyright, contact us at: [email protected].
• We will investigate and remove infringing content as appropriate.
• We may terminate accounts of repeat infringers.
• False copyright claims may result in legal liability.
• Include in your notice: description of copyrighted work, location of infringing content, your contact information, and statement of good faith belief.

20. Force Majeure

• We are not liable for delays or failures due to circumstances beyond our control (natural disasters, government actions, internet outages, pandemics, etc.).

21. Governing Law and Dispute Resolution

Except to the extent expressly provided below, these Terms and the relationship between you and us shall be governed by the laws of the State of California, excluding its conflicts of law provisions. You and we agree to submit to the personal and exclusive jurisdiction of the courts located within the county of San Mateo, California, to resolve any dispute or claim arising from these Terms. If (a) you are not a U.S. citizen; (b) you do not reside in the U.S.; (c) you are not accessing the Service from the U.S.; and (d) you are a citizen of one of the countries identified below, you hereby agree that any dispute or claim arising from these Terms shall be governed by the applicable law set forth below, without regard to any conflict of law provisions, and you hereby irrevocably submit to the non-exclusive jurisdiction of the courts located in the state, province or country identified below whose law governs. If you are a citizen of any European Union country or the United Kingdom, Switzerland, Norway or Iceland, the governing law and forum shall be the laws and courts of your usual place of residence.

21.1 Mandatory Arbitration

• All disputes must be resolved through binding arbitration, not courts.
• No class action lawsuits or representative actions are permitted.
• You waive your right to a jury trial.
• You waive any right to participate in class action lawsuits against us.
• All disputes must be brought individually.
• Arbitration will be conducted under the rules of the Judicial Arbitration and Mediation Service (JAMS) with a single arbitrator.
• If you file an arbitration complaint, we will pay any portion of the initial filing fee that exceeds $250.
• After initial filing fees, parties will share arbitration costs equally.

21.2 Injunctive Relief

• You acknowledge that violations of these Terms may cause irreparable harm that cannot be remedied by monetary damages alone.
• We are entitled to seek injunctive or other equitable relief without posting bond or surety.
• You irrevocably waive all rights to seek injunctive or other equitable relief against us.

21.3 International Users

• If you're located outside the United States, you consent to processing of personal information in the United States.

22. Assignment and General Provisions

• You may not assign these Terms or any rights or obligations under them.
• We may assign these Terms to any third party without notice.
• These Terms do not create any partnership, agency, or joint venture.
• If any provision is found invalid, the remaining provisions remain in effect.
• These Terms constitute the entire agreement between you and us regarding the Service.
